Sands China Ltd., a majority-owned subsidiary of Las Vegas Sands Corp., completed a private offering of $1.0 billion aggregate principal amount of senior unsecured notes, consisting of $700 million of 6.400% Senior Notes due 2032 and $300 million of 6.700% Senior Notes due 2033. The net proceeds, together with cash on hand, will be used to redeem the outstanding $700 million 2.300% senior notes due 2027, repay the 2024 SCL Revolving Facility balance, and for general corporate purposes including capital expenditures. This refinancing extends the maturity profile and increases the interest cost on the refinanced portion.
- Sands China issued $700 million of 6.400% Senior Notes due 2032 and $300 million of 6.700% Senior Notes due 2033, for aggregate proceeds of $1.0 billion.
- Net proceeds plus cash on hand will redeem the outstanding $700 million 2.300% senior notes due 2027 and repay the 2024 SCL Revolving Facility.
- The new notes carry higher interest rates (6.400% and 6.700%) compared to the 2.300% notes being redeemed, increasing annual interest expense on the refinanced portion.
- The notes are senior unsecured obligations of Sands China and will be listed on The Stock Exchange of Hong Kong Limited.
