- Trial Phase
- Phase 1 (registrational pivotal trial planned per FDA feedback)
- Time to Market
- unknown — likely 3+ years: the pivotal single-arm registrational trial has not yet started, and a study plus FDA review would follow; the drug's development is also being moved into a private company via the Celadon merger
- Why 6/10
- The next hard, dated catalyst is the expected ~Sept 30, 2026 close of the Celadon merger that spins SENTI-202 into a private company, converting SNTI shareholders' exposure into speculative CVRs (up to $60M) — a dated binary within ~6 months on the company's lead (essentially only) clinical asset, but a corporate-restructuring event rather than a drug readout, with the drug's later milestones (pivotal data, BLA) accruing to a private entity, so 6 rather than 8+.
For SNTI common stock, the thing to watch is the shareholder vote and close of the Celadon merger (expected ~Sept 30, 2026): after close, SNTI common no longer holds SENTI-202, and further drug milestones only move the speculative CVRs (max $60M total). The clinical data are genuinely promising, but the tradable public equity is being stripped of the asset — monitor the proxy/vote and any pivotal-trial-initiation announcement as the two events that can still move the stock.

Executive Summary
SENTI-202 is Senti Biosciences' lead asset: a Logic-Gated CAR-NK cell therapy for relapsed/refractory acute myeloid leukemia. The drug has real momentum — RMAT designation, positive FDA feedback finalizing a single-arm registrational trial path, and Phase 1 data (50% composite CR with Donor X NK cells vs 12.5% without, durable MRD-negative remissions up to 21+ months). However, the investor picture for SNTI is dominated by corporate structure: in July 2026 Senti agreed with a Celadon affiliate to spin SENTI-202 into a private company, leaving SNTI as a thinly-funded public shell whose shareholders receive only contingent value rights (up to $60M in milestones).
How It Works
SENTI-202 is an investigational "off-the-shelf" cell therapy: natural killer (NK) immune cells from a healthy donor are genetically engineered, using Senti Bio's Gene Circuit platform, with a chimeric antigen receptor (CAR) plus logic-gated (NOT-gated) circuitry, so the cells seek out and destroy leukemia (AML) cells while sparing healthy tissue. Because it is donor-derived rather than made from each patient's own cells, it can be manufactured in advance. The company identified a specific donor ("Donor X") whose cells produced markedly better responses and plans to use that donor for all future manufacturing.
Trial Status
Phase 1 data presented at the 2025 ASH Annual Meeting; updated May 14, 2026 after a Type B RMAT meeting with the FDA, which finalized a single-arm multi-center registrational trial strategy in relapsed/refractory AML. Updated Phase 1 efficacy showed a 50% composite complete-response rate (7/14) in patients receiving Donor X-derived NK cells vs 12.5% (1/8) without, with durable MRD-negative remissions up to 21+ months. The pivotal trial itself has not yet been initiated.
The Two-Sided Case
Upcoming Catalysts
- Stockholder vote on the Celadon merger and expected close ~Sept 30, 2026 — the binary event that determines whether SNTI holders' SENTI-202 exposure converts to CVRs
- Initiation of the SENTI-202 single-arm pivotal (registrational) trial in R/R AML — timing not yet announced
- CVR milestone triggers (pivotal trial initiation, data, approval/commercialization) worth up to $60M — accrue to the private entity post-close
- Quarterly financial results (10-Q filed Aug 14, 2026; next earnings)
