This bill amends the Securities Exchange Act of 1934 to require issuers with a multi-class stock structure to disclose certain information in proxy or consent solicitation materials. It defines a multi-class share structure as a capitalization structure with two or more classes of securities that have different voting rights in director elections. The Securities and Exchange Commission (SEC) must issue rules requiring each such issuer to disclose, for each director, director nominee, named executive officer, or beneficial owner of 5% or more of total combined voting power: (A) the number of shares of all classes entitled to vote in director elections beneficially owned by that person, as a percentage of total outstanding shares entitled to vote; and (B) the amount of voting power held by that person, as a percentage of total combined voting power of all classes entitled to vote in director elections. These disclosures must be included in proxy or consent solicitation materials for annual shareholder meetings, or in other filings as the SEC determines appropriate.
